PERI TECHNOLOGIES PRIVATE LIMITED (hereinafter referred to as “PERI”, “we”, “ us” and “our” ) offers its proprietary product “PERI CRM” as a SAAS (Software as a Service) platform under the following terms of service:
- To Indian companies whether proprietorship, LLP or private limited (hereinafter referred to as “PERI”) as an enterprise business process automation application (with both web and mobile interfaces) to be accessed by its employees and partners in sales, marketing, service and operations verticals (hereinafter referred to as “USERS”).
- To Individuals (hereinafter referred to as “USERS”) as a self-productivity management tool
This document describes the terms governing the use of the PERI CRM and related functionalities provided on website and mobile application – including but not limited to UI, UX, content, logics, algorithms, visualisations (collectively, the “SERVICES”). It includes by reference, PERI CRM’s Privacy Policy available on the website, and mobile application.
Use
PERI CRM is protected by trademark filed and accepted by Controller General of Patents Design and Trademarks. The COMPANY and USERS are only granted the right to use the Services and PERI reserves all rights of ownership in the Services. As part of sign up and onboarding, PERI grants to the COMPANY and USERS a personal, limited, non-exclusive, non-transferable rights (except as expressly stated herein) to use PERI CRM mobile and web application, and only for the purposes described by PERI CRM.
PERI is committed to provide uninterrupted access within the stipulated SLA’s. Having said that, PERI shall not, at any time, be liable for any damage or loss of any kind, caused as a result of non-availability, downtime, misuse by USERS, or data theft at the COMPANY or USER level. And in no way, PERI shall be liable for any damage arising from the inability to connect to the PERI CRM for the aforementioned reasons.
In using the PERI CRM, the user agrees:
- Not to use false identities and/or use the system in an unauthorized manner, on behalf of any legal or private person
- Not to use the PERI CRM for achieving any illegal goals
- Not to obstruct the networks, which are needed to provide the service
- Not to use any device, software, program or other means in order to obstruct the functioning of the web page, and not to obstruct transactions which are offered by the PERI CRM
- Not to take any action which could damage the infrastructure of the PERI CRM
- Not to use any tool to automate the access to the system (agents, robots…), for any reason.
PERI reserves the right to restrict the user’s access to the PERI CRM, at any time, if the user violates any of the aforementioned clauses.
Trial Period
PERI may from time to time give its mobile and/or web application to COMPANIES AND USERS on a trial basis. This access will have limited validity and limited functionalities depending upon the promotion which is running. PERI reserves the right to deactivate any user at any moment during the trial, after giving a formal communication. In such cases, communication will not necessarily be given to the end users.
Content
COMPANY and all its registered USERS are fully responsible for their content. This includes all master data including employee details, outlet details, product details, plus all data, text, photographs, or all other materials (“Content”) uploaded, posted or stored through the web and mobile platform. The COMPANY and USERS grant PERI a worldwide, royalty-free, non-exclusive license to host and use the Content in order to provide the user with the Services. COMPANY and USERS agree not use the Services for any illegal purpose or in violation of any applicable local, state, federal or international law. The content doesn’t include any financial or legal content and if such content is found, it will be immediately removed.
The COMPANY and USERS agree not to use the Services to upload, post, distribute, link to, publish, reproduce, engage in or transmit any of the following, including but not limited to:
Illegal, fraudulent, defamatory, obscene, pornographic, profane, threatening, abusive, hateful, harassing, offensive, inappropriate or objectionable information or communications of any kind, including without limitation conduct that would encourage or constitute an attack or “flaming” others, or criminal or civil liability under any local, state, federal or foreign law;
Content or data that would impersonate someone else or falsely represent the user’s identity or qualifications, or that constitutes a breach of any individual’s privacy, including posting images about children or any third party without their consent (or a parent’s consent in the case of a minor);
Except as otherwise permitted by PERI in writing, advertisements, solicitations, investment opportunities, chain letters, pyramid schemes, other unsolicited commercial communication or engage in spamming or flooding; Virus, trojan horse, worm or other disruptive or harmful software or data; and
Any information, software or Content which is not legally the COMPANY or USERS and may be protected by copyright or other proprietary right, or derivative works, without permission from the copyright owner or intellectual property rights owner will be immediately removed.
PERI may monitor the COMPANY and USERS content from time to time and in its sole discretion, may refuse to post, remove, or refuse to remove, any Content, in whole or in part, alleged to be unacceptable, undesirable, inappropriate, or in violation of this Agreement.
Permitted disclosures and Use of Data
The COMPANY and USERS acknowledge and agree that in order to provide him/her/they/them with access to and use of the Software and Services, PERI may provide his/her/they/them Access Information and Account Data to (i) his/her/their/our employees or customer support agents.
Customer support
PERI, being the sole provider of the PERI CRM service, is responsible for offering customer support via email, phone or physical means to COMPANY and USERS. This communication cannot be treated as infringement of COMPANY or USERS privacy. Our support services predominantly serve the following needs:
- Correction of mistakes made during the installation of the program’s equipment of the provider
- Assistance with applications that are part of the PERI
- In the unlikely scenario that a user spots any bugs or other kinds of errors in the system
- The latter in turn commits itself to fix any bugs and correct any errors in the shortest amount of time possible.
- PERI shall not bear responsibility for any damage a user might incur as a result of these inconveniences.
Software updates
From time to time, the PERI CRM mobile and web applications may be updated. These updates are predominantly intended to improve, upgrade and further enhance PERI CRM’s service. Updates may consist of files for eliminating mistakes, files with upgraded functions, new software modules and completely new versions of the software.
In order to facilitate the updating process, the download of new files from the provider’s server occurs automatically on the users’ smartphones. The COMPANY and USERS agree to accept these files and to install them on his mobile device as part of the PERI CRM.
Billing and Payments
PERI CRM is always a paid service unless explicitly offered on a trial basis. During signup and onboarding, COMPANY and USERS get into an agreement with PERI, either in print or digitally, periodic billing dates and amount is agreed upon, payment is made as advance and only then the platform access is given to COMPANY and its USERS. PERI reserves the rights to give different pricing to different COMPANIES and this cannot be challenged. As the due date of next payment approaches, PERI sends email reminders and pro-forma invoice to the COMPANY admin requesting payment.
Cancellation of services
A COMPANY must settle all dues before the first day of the next billing cycle. In case payment is not received, PERI reserves the right to suspend or terminate both mobile and web services to any or all users. The user has the right to cancel using the services of the PERI CRM at any time by submitting a written request for the termination of the agreement, unless otherwise agreed differently.
Limitation of liability
PERI hereby states that all information and services offered on their web pages are on an “as is”, “as available” basis without warranties of any kind on their availability and regularity i.e. its purpose. The COMPANY and USERS utilizes the PERI CRM web/mobile application at his sole discretion. In no event shall PERI be liable for any direct or indirect losses or damages arising out of or in connection with his use of or inability to use the information and/or services from this site, i.e. because of the possible mistakes or incorrect information which could be found on the web or mobile platforms. The COMPANY and USERS agrees to indemnify and hold PERI and its Affiliates and Suppliers harmless from any and all claims, liability and expenses, including reasonable attorneys’ fees and costs, arising out of the user’s use of the Services or breach of this Agreement (collectively referred to as “Claims”). PERI reserves the right, in its sole discretion and at its own expense, to assume the exclusive control of any Claims. The user agree to reasonably cooperate as requested by PERI in the defence of any Claims.
Final regulations
PERI reserves the right to alter general conditions of their business conduct and tariffs without any previous consent from its users. In case the user does not agree with any of these changes, he may cancel the agreement at any time. The contractual parties accept to solve all disputes, which could arise from their relationship, by mutual agreement. If an agreement is not possible, they shall refer to Court in New Delhi, India for resolving the dispute. Legal regulations of Delhi apply for any legal relationships arising from these conditions.
